Seller Agreement

GENERAL STATEMENT

The following Seller Agreement governs all uses of the macmarketplc.com website and all content, services, and products available through this site, including but not limited to, the seller area (collectively referred to as the “Site” or “Services”).

When you sign up for services, create an online store and/or setup your seller profile on this Site, (collectively referred to as “Account”, “You”, “Your”), you have accepted and agreed this Seller Agreement.

The Site is owned and operated by Tenth Month Enterprise, LLC (collectively referred to as “Operator”, “Us”, “We”, “Our”).

This marketplace is designed for makers, artists, and collectors. To this end, your product must be a physical product and must be either made by you or obtained by you and you have the legal right to sell the product. To keep the integrity of this marketplace, we screen and limit the vendors to these categories. As the marketplace grows, you agree to help us ensure the value of this marketplace and report any abuses such as products that do not fall within our definitions of a maker, artist, or collectible product.

SCOPE OF THE SERVICES

We agree to provide you with the platform to create, maintain, and manage your individual online storefront and to sell your handmade, artistic, and/or collectible items. From time to time, the platform would undergo changes and update to keep up with technology and may remove some functionality no longer technically supported. In turn, we may update the platform to add newer technology to enhance the user experience and user interfaces. These updates will occur as often as we deem necessary to keep the platform at the optimized performance level.

The services also include the functionality for marketing your stores and products across the various social platforms with which we select to engage. Your store and/or your products may be used in our marketing strategy for the entire marketplace. In addition to our marketing efforts, we also provide you services where you can also market your individual store and/or products to various social platforms.

The services also include the functionality for you to deliver and/or ship your products to your customers. We will not ship your products.

Our services include the functionality to collect payments from your customer and disburse your earnings once your customer’s orders are marked as complete. We will also collect sales and use tax on your behalf and remit to the proper jurisdictions. At the current time of this Vendor Agreement, the marketplace hasn’t established the financial nexus to warrant the collection and remittance of taxes.

The last functionality we provide is communication to you both online via our marketplace as well as emails we may send you directly. The notifications will contain important information regarding the marketplace.

THE MARKETPLACE PRODUCTS

The marketplace allows for any product you make or collect and which can be physically held. To clarify, digitally made products which are designed for download is not allowed. This includes and is not limited to files, images, and music. This also excludes products that you design and have a third part provider print and ship to your end customer otherwise known as print on demand and drop shipment products. This also excludes imported products purchased from external marketplaces such as Alibaba, Amazon, Etsy, and the like. This also excludes products from MLM such as Scentsy, Avon, Color Street, and the like. We strive to keep the marketplace uniquely handmade products, art, and collectibles.

There are of course exceptions. We welcome vintage, antique, refurbished, repurposed and similar products. This includes fashions, electronics, toys, kitchen, stationary, and the similar areas.

We also include sales for your confectionery products as long as you’ve met the requirements to sell confectionery products from your home or commercial kitchen. This means you have obtained and carry the proper permits and license, food handlers, and other permits and documentation. We will not require any proof of documentation other than what we are required. Currently, there is no obligation for us to hold this information about you and your product.

Other physical products we currently do not support is the sales of is automotive unless it is a collectible or antique, and any kind of real estate.

CONTRACT LENGTH AND DURATION

We provide several engagement levels with varying contract durations. All levels have the option to contract at an annual level or a monthly level and remains in effect as long as the agreement is not violated.

The current contracts we provide are:
– First Round Founding Members
– Second Round Founding Members
– Basic Seller
– Standard Seller
– Pro Seller

PRICE AND PAYMENT OF CONTRACT

The following table shows each of the contract levels and their respective price

  • Founding Member Round 1 $179.88 [$14.99/month billable annually] or $24.99 billed monthly
  • Founding Member Round 2 $239.64 [$19.97/month billable annually] or $29.97 billed monthly
  • Basic Membership $359.88 [$29.99/month billable annually] or $39.99 billed monthly
  • Standard Membership $599.88 [$49.99/month billable annually] or $59.99 billed monthly
  • Pro Membership $839.88 [$69.99/month billable annually] or $79.99 billed monthly

We use a third party payment processor (PayPal®) in which you can pay via Visa®, MasterCard®, Discovery®, AmericanExpress®, or PayPal®.

Payment occurs at the beginning of the contract cycle whether you chose the annual or monthly plan. For annually, your contract automatically renews based on your established payment method. Similarly, the monthly contract automatically renews on the day your contracted started. For example, if your contract started on 15th of the month and your contract is monthly, your contract will renew on the 15th of the next month. If your contract is annually and you started the contract on December 12th, your contract automatically renew the next December 12th.

You can always upgrade and downgrade your contract. For example, if you start with the monthly, you can upgrade to an annual contract, and vice versa, if you are an annual contract, you can downgrade to a monthly contract.

Your payment is non-refundable.

WITHDRAWAL OF FUNDS AND PROCESSING FEES

You can withdraw your funds once your orders are in the “COMPLETED” state. We also do not set a minimum balance on your account before you can withdraw funds. Keep in mind, our third party payment processor may charge you fees. Their fee schedule is out of our control and is the payment provider’s discretion and policies on the fees to charge each withdrawal transaction.

REFUNDS AND RETURNS FROM YOUR CUSTOMERS

Your customers order your products and we collect those payments via our third party payment processor via PayPal®. If your customer requests a refund, according to PayPal, you’ll have 10 days to respond to the claim. If you fail to respond in time, PayPal will close the claim in your customer’s favor and a full refund will be issued to the customer requesting a refund.

HOW TO GET OUT OF YOUR CONTRACT

If for whatever reason you are not able to complete the duration of your contract, you can simply cancel or terminate your contract by updating your payment renewal option and select to not renew your contract.

WHAT HAPPENS IF THE VENDOR AGREEMENT IS NOT FOLLOWED

Violations of your contract will be handled on a case by case basis. Depending on the level of contract violation, your account could be temporarily suspended from selling while investigation into the violation occurs. The worse case scenario is your seller account will be disabled permanently.

In either case, your store and your products will no longer be visible to customers.

Violations to the vendor agreement could range from non-payment to more sever as promoting hate and/or violence to a customer and/or a seller. If the latter occurs, not only will your store and your products be disabled permanently, you will also be on the list of seller (or customer) accounts no longer allowed on the marketplace.
